OVERVIEW
Assistant General Counsel – Transactional and Commercial will play a key role in structuring, negotiating, and executing various corporate transactions, with a focus on business development, joint venture, M&A and strategic transactions. This position requires deep experience in deal structuring, contract negotiation and due diligence.
RESPONSIBILITIES
Manage relationships with external legal counsel, investment bankers, and consultants.
Manage regulatory filings, compliance requirements, and post-closing integration activities.
Conduct and oversee due diligence processes, identifying key legal risks and opportunities.
Provide legal guidance on corporate structuring, shareholder agreements, and investment agreements.
Work closely with business development, finance, and operations teams to drive deal execution.
Provide strategic legal counsel to senior executives on deal structuring and corporate growth opportunities.
Play a lead role in providing legal advice on business development, joint venture, partnerships, strategic transactions and commercial agreements. Draft, negotiate, and review term sheets, letters of intent (LOIs), purchase agreements, partnership and joint venture agreements, investment agreements, and related transaction documents.
Collaborate with cross-functional teams, including business development, corporate development, finance and tax, compliance,, to assess deal feasibility and risk mitigation strategies.
Support capital-raising activities, including private equity, venture capital investments, debt financing, and securities offerings.
Advise on equity and debt financing transactions, including convertible notes, preferred stock issuances, and credit facilities.
REQUIREMENTS
Excellent negotiation, drafting, and analytical skills.
Ability to manage multiple high-profile transactions in a fast-paced environment.
Juris Doctor (JD) from an accredited law school and active membership in a state bar.
Strong business acumen with the ability to balance legal risks and commercial objectives.
7+ years of experience in M&A, corporate transactions, and deal structuring at a top law firm or in-house legal department.
Strong expertise in structuring and negotiating complex transactions and commercial contracts.
Proven experience handling complex business development, joint venture and strategic transactions.
Must have legal right to work in the U.S.
We expect the base salary for this position to be in the range of $218,000-$249,500 and will depend on your skills, qualifications, and experience. Additionally, this role might be eligible for discretionary short-term and long-term incentives. We encourage all interested candidates to apply.
